Deevly Labs LTD (“we”, “us”) operates Vesperer, a software product available at vesperer.com (the “Service”). Vesperer is not a separate company — Deevly Labs LTD (https://deevlylabs.com) is the legal entity. By accessing or using the Service, you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Service.

1. Eligibility. You must be old enough to use online services in your jurisdiction and able to form a binding contract. Where the Service offers adult-oriented features (Vesperer After Dark), those areas are strictly 18+ and governed by the Adult Content Notice.

2. Nature of the Service. The general Service provides AI character infrastructure: identity layers, memory, relationships, voice, and channel connectors for creators, educators, and businesses. Interactions may use automated systems — see our AI transparency obligations in the Privacy Policy and product disclosures. Sexually explicit features are offered only in the separate After Dark zone, not on the general marketing site.

3. Accounts. You are responsible for credentials, API keys, bot tokens, and activity under your account. Notify us promptly of unauthorized use.

4. Acceptable use. You must comply with the Acceptable Use Policy and Adult Content Notice. Zero tolerance for sexual content involving minors (real or fictional), age-play involving minors, exploitation, non-consensual intimate imagery, or other illegal activity.

5. AI outputs. Outputs are generated by machine-learning systems and may be inaccurate, offensive, or unexpected. You are responsible for reviewing, configuring, and deploying personas and for how end users interact with your bots.

6. End users of your bots. If you connect Telegram or other channels, you must ensure your end users are adults, present required notices, and obtain any consents required by law for adult content in your markets.

7. B2B customers and channel operators (“Operators”). If you connect Telegram bots, use the public Chat API, or publish a public persona page for end users, you are an Operator. Operators: (a) are responsible for end-user age attestation in their channel; (b) must comply with third-party platform terms; (c) must not knowingly allow minors to interact with adult personas; (d) warrant they have rights to the content and likeness they deploy; (e) agree Vesperer may suspend channels for safety or legal risk. Vesperer provides software infrastructure and global safety controls — not publisher control over Operator audiences.

8. Intellectual property. You retain rights in content you upload (e.g. persona text, photos you own). You grant us a limited license to host and process that content to operate the Service. Do not upload content you lack rights to use.

9. Suspension. We may suspend or terminate accounts that violate these Terms, applicable law, or platform rules of connected services (e.g. Telegram).

10. Disclaimers. THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Limitation of liability. To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill.

12. Governing law. These Terms are governed by the laws of England and Wales, without regard to conflict-of-law rules. Courts in England and Wales shall have exclusive jurisdiction, subject to mandatory consumer protections in your country of residence where applicable.

13. Paid plans (apex). Paid Creator and Studio subscriptions on vesperer.com are billed under our Billing Terms and Refunds & Cancellation policy. Card payments for those SFW plans are processed by Stripe. After Dark (xxx.vesperer.com) adult offerings are not sold through Stripe and use a separate payment rail when enabled.

14. Changes. We may update these Terms. Material changes will be reflected by a new legal version date. Continued use after the effective date constitutes acceptance where permitted by law.
